TERMS & CONDITIONS 

  1. Introduction

These Terms & Conditions govern your use of the Protagonist Communications website (“the Website”) and the consultancy services provided by Protagonist (UK) Ltd (“we”, “us”, “our”). By accessing the Website or engaging our services, you agree to be bound by these Terms. 

  1. About Us

Protagonist (UK) Ltd provides adoption and engagement communications consultancy services to AI vendors, legaltech companies, Microsoft delivery partners, law firms, and general commercial organisations. 

  1. Use of the Website

You may use the Website for lawful purposes only. You must not:  

  • Attempt unauthorised access, data scraping, or interference. 
  • Use the Website in a manner that may cause harm or disruption. 
  • Reproduce or distribute Website content without permission.
  1. Consultancy Services

Consultancy services are provided under separate Statements of Work or written agreements. These Terms govern Website use only. 

  1. Intellectual Property

All intellectual property rights in any materials, deliverables, content, strategies, frameworks, or advisory outputs created by Protagonist Communications (“Deliverables”) remain our property until full and final payment of all fees due. 

Upon receipt of full and final payment, ownership of the Deliverables transfers to the client. 

We retain ownership of all underlying methodologies, processes, templates, know-how, and tools used to create the Deliverables. We grant the client a perpetual, royaltyfree licence to use such underlying materials solely as incorporated within the Deliverables. 

Until full payment is received, the client is granted a limited, revocable licence to use the Deliverables solely for internal review purposes. 

  1. Confidentiality

We treat all client information as confidential and will not disclose it except where required by law or where you provide written consent. Clients must likewise maintain confidentiality regarding our proprietary methodologies, frameworks, and materials. 

  1. Payment Terms

Fees are payable in accordance with the Statement of Work or invoice terms. Unless otherwise agreed, payment is due within 30 days of the invoice date. 

We reserve the right to suspend work or withhold Deliverables if payment is overdue. 

Interest may be charged on late payments at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998. 

  1. Professional Advice Disclaimer

All consultancy services and Deliverables are provided for general guidance and informational purposes. They do not constitute legal, regulatory, technical, or financial advice. Clients should obtain independent professional advice before relying on any Deliverables for legal, compliance, or strategic decisionmaking. 

  1. Indemnity

The client agrees to indemnify and hold harmless Protagonist (UK) Ltd from any claims, losses, or liabilities arising from the client’s use of the Deliverables, except where such claims arise directly from our negligence or breach of these Terms. 

  1. Limitation of Liability

To the fullest extent permitted by UK law, Protagonist (UK) Ltd is not liable for: • Indirect, incidental, or consequential losses • Loss of profits, business, or data • Any reliance placed on Website content 

Our total liability for any claim relating to consultancy services is limited to the fees paid for the specific engagement. 

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited under applicable law. 

  1. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to events beyond our reasonable control, including acts of God, pandemics, war, labour disputes, or failures of suppliers or subcontractors. 

  1. Assignment

The client may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations to a successor entity or subcontractor where necessary to deliver the services. 

  1. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. See our Privacy Policy. 

  1. Cookies

We use cookies to improve Website performance and user experience. See our Cookie Notice. 

  1. Changes

We may update these Terms occasionally. The revised version will be posted with an updated “Last Updated” date. 

  1. Entire Agreement

These Terms, together with any applicable Statement of Work, constitute the entire agreement between the parties relating to use of the Website and supersede all prior discussions, representations, or agreements on that subject. 

  1. Severability

If any provision of these Terms is found by a court or regulator to be unlawful, invalid, or unenforceable, that provision shall be deemed severed, and the remaining provisions shall continue in full force and effect. 

  1. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
